These Terms of Service ("Terms") govern your access to and use of CareDesk™ services, websites, software, communications, and related offerings operated by CareDesk™ Operations LLC ("CareDesk™," "we," "our," or "us").

By signing up for, accessing, or using CareDesk™ services, you agree to these Terms.

Services

CareDesk™ provides call answering, customer communication, lead qualification, scheduling assistance, booking coordination, and administrative support services primarily for residential cleaning businesses.

CareDesk™ acts solely as an administrative support provider operating on behalf of client businesses. CareDesk™ does not perform cleaning services and is not responsible for the fulfillment, quality, performance, safety, pricing, staffing, scheduling outcomes, customer satisfaction, or delivery of services performed by client companies.

Service features, availability, staffing, workflows, integrations, and operating hours may change from time to time without guarantee of uninterrupted availability.

Client Responsibilities

Clients remain fully responsible for:

  • Pricing and quoting decisions
  • Scheduling approval and operational oversight
  • Employee or contractor management
  • Customer service outcomes
  • Service fulfillment
  • Refunds, damages, complaints, and disputes
  • Compliance with applicable laws and regulations
  • Accuracy of information provided to CareDesk™

Clients agree to provide accurate and updated business information, scheduling procedures, policies, and instructions necessary for CareDesk™ to provide support services.

Communications & Call Recording

Calls handled through CareDesk™ may be monitored or recorded for quality assurance, documentation, operational support, training, and service improvement purposes, subject to applicable law.

By using CareDesk™ services, clients acknowledge and consent to such monitoring and recording where legally permitted.

Certain communications may also be processed through automated systems, transcription tools, summarization systems, AI-assisted technologies, or workflow automation tools.

Third-Party Platforms & Integrations

CareDesk™ services may rely on third-party systems, providers, and integrations, including but not limited to:

  • Telephony providers
  • CRM platforms
  • Scheduling systems
  • Payment processors
  • Internet infrastructure
  • Cloud hosting providers

Examples may include RingCentral, Stripe, Jobber, ZenMaid, Housecall Pro, and related vendors.

CareDesk™ is not responsible for outages, interruptions, delays, synchronization errors, downtime, security incidents, or failures caused by third-party providers or systems outside of CareDesk™'s direct control.

Billing & Payments

Services are billed on a recurring monthly basis unless otherwise agreed in writing.

Subscriptions automatically renew each billing cycle until canceled.

Clients authorize CareDesk™ to charge the payment method on file for recurring subscription fees and any approved additional charges.

Failure to maintain valid payment information may result in suspension or termination of services.

Unless otherwise stated in writing:

  • Payments are non-refundable
  • Partial months are not prorated
  • Pricing may change with reasonable notice

Cancellation & Termination

Clients may cancel services by providing written notice prior to the next billing cycle.

CareDesk™ reserves the right to suspend or terminate services immediately for:

  • Nonpayment
  • Abusive or inappropriate conduct
  • Illegal activity
  • Misuse of services
  • Operational or security concerns
  • Reputational risk
  • Violation of these Terms

Termination does not eliminate outstanding payment obligations.

Acceptable Use

Clients may not use CareDesk™ services for:

  • Illegal activity
  • Harassment or abusive conduct
  • Fraudulent or deceptive practices
  • Spam or robocalling activity
  • Services outside approved business categories without written authorization
  • Activity that places unreasonable operational burden on CareDesk™ systems or staff

Operational Limitations

CareDesk™ relays and processes information provided by callers, clients, integrations, and third-party systems but does not independently verify the accuracy or completeness of submitted information.

CareDesk™ does not guarantee:

  • Lead conversion
  • Revenue generation
  • Booking volume
  • Uninterrupted availability
  • Error-free operation
  • Exact scheduling outcomes
  • Customer retention

Occasional operational errors, missed calls, delays, transcription inaccuracies, integration failures, or communication issues may occur.

Intellectual Property

All CareDesk™ branding, systems, workflows, scripts, processes, website content, software, documentation, and related materials remain the property of CareDesk™ Operations LLC unless otherwise stated.

Clients may not reproduce, distribute, reverse engineer, copy, or commercially exploit CareDesk™ materials without written permission.

Disclaimer of Warranties

CareDesk™ services are provided on an "as is" and "as available" basis without warranties of any kind, express or implied.

CareDesk™ disclaims all implied warranties, including merchantability, fitness for a particular purpose, non-infringement, and uninterrupted availability.

Limitation of Liability

To the fullest extent permitted by law, CareDesk™ Operations LLC shall not be liable for:

  • Indirect damages
  • Incidental damages
  • Lost profits
  • Lost revenue
  • Business interruption
  • Data loss
  • Customer disputes
  • Scheduling errors
  • Missed opportunities
  • Operational delays
  • Third-party system failures

CareDesk™'s total aggregate liability arising out of or related to the services shall not exceed the total amount paid by the client to CareDesk™ during the twelve (12) months preceding the event giving rise to the claim.

Indemnification

Clients agree to defend, indemnify, and hold harmless CareDesk™ Operations LLC and its owners, employees, contractors, and affiliates from claims, liabilities, damages, losses, expenses, and legal fees arising from:

  • Client business operations
  • Customer disputes
  • Misuse of services
  • Inaccurate information provided by the client
  • Violations of law or these Terms

Privacy

Use of CareDesk™ services is also governed by the CareDesk™ Privacy Policy.

Changes to Terms

CareDesk™ may update or modify these Terms periodically.

Updated versions will be posted on the website with a revised "Last Updated" date.

Continued use of services after updates become effective constitutes acceptance of the revised Terms.

Governing Law

These Terms shall be governed by and interpreted under the laws of the Commonwealth of Pennsylvania, without regard to conflict of law principles.
